End User License Agreement

This End-User License Agreement ("Agreement") is between GRD Books LLC ("GRD") and each individual who is authorized to access the GRD Books Internal Tools application (the "App"), and, where applicable, each GRD client that connects its Intuit QuickBooks Online company to the App ("you"). By accessing the App or connecting a QuickBooks company to it, you agree to this Agreement.

1. About the App

The App is a proprietary, internal software application owned and operated by GRD. It is used by GRD personnel to deliver accounting, bookkeeping, reconciliation, and financial reporting services to GRD clients, including by connecting to client QuickBooks Online companies through Intuit's APIs. The App is not sold, distributed, or made available to the general public.

2. License Grant

Subject to this Agreement, GRD grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the App solely (a) in the course of your work for GRD, if you are GRD personnel, or (b) to authorize GRD's access to your QuickBooks data in connection with services GRD provides to you, if you are a GRD client.

3. Eligibility and Accounts

  • Access to the App is limited to individuals who have been issued credentials by GRD.
  • You are responsible for keeping your credentials confidential, using multi-factor authentication where required, and for all activity under your account.
  • You must notify GRD immediately of any unauthorized use of your account or any suspected security incident.
  • GRD may suspend or revoke access at any time, including when your employment, contract, or client engagement ends.

4. QuickBooks Online Connection

  • Connecting a QuickBooks company requires authorization by a user with administrator rights in that company, through Intuit's secure OAuth sign-in. GRD never receives your QuickBooks password.
  • By connecting, you authorize the App to read data from the QuickBooks company and, where agreed in your engagement with GRD, to create or update records (such as journal entries) in it.
  • You may disconnect the App at any time from within QuickBooks Online or by contacting GRD. Disconnecting stops further access by the App.
  • Your use of QuickBooks Online remains governed by your agreement with Intuit. GRD is not responsible for the availability or operation of QuickBooks Online or Intuit's APIs.

5. Restrictions

You may not, and may not permit anyone else to:

  • Copy, modify, distribute, sell, lease, or sublicense the App;
  • Reverse engineer, decompile, or attempt to derive the source code of the App, except where applicable law prohibits this restriction;
  • Access data belonging to a client you are not assigned to, or use any client data for a purpose other than providing services to that client;
  • Bypass or interfere with security, authentication, or permission controls;
  • Use the App in violation of any law, professional standard, or the terms of Intuit's services; or
  • Share your credentials or allow any unauthorized person to use the App.

6. Data and Confidentiality

As between the parties, each client retains ownership of its QuickBooks data and other financial data. GRD will access and use that data only to provide services to that client, as described in GRD's Privacy Policy, which is incorporated into this Agreement. GRD personnel must treat all client data as confidential in accordance with GRD's policies and their confidentiality obligations.

7. Ownership

The App, including its software, design, and documentation, is owned by GRD and is protected by intellectual property laws. Except for the limited license in Section 2, no rights are granted to you. Any feedback you provide about the App may be used by GRD without obligation to you.

8. Professional Review

Reports, journal entries, reconciliations, and financial statements produced with the help of the App are prepared and reviewed by GRD personnel as part of GRD's services. Outputs of the App should not be relied on as final until they have been reviewed and delivered by GRD.

9. Disclaimer of Warranties

To the maximum extent permitted by law, the App is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. GRD does not warrant that the App will be uninterrupted, error-free, or free of harmful components.

Nothing in this Section limits any warranty or obligation GRD has to a client under a separate written engagement letter or services agreement.

10. Limitation of Liability

To the maximum extent permitted by law, GRD will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising from or related to the App or this Agreement, even if advised of the possibility of such damages.

For GRD clients, GRD's liability in connection with the services it provides is governed by the client's engagement letter or services agreement with GRD, which controls over this Section in the event of a conflict.

11. Termination

This Agreement remains in effect until terminated. Your license ends automatically when your authorized access ends, when your engagement with GRD ends, or if you breach this Agreement. Sections 5 through 13 survive termination.

12. Governing Law

This Agreement is governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. The state and federal courts located in Cook County, Illinois have exclusive jurisdiction over any dispute arising from this Agreement.

13. General

This Agreement, together with the Privacy Policy and any engagement letter or services agreement between GRD and a client, is the entire agreement regarding the App. If any provision is found unenforceable, the remaining provisions remain in effect. GRD may update this Agreement from time to time by posting a revised version with a new effective date; continued use of the App after an update constitutes acceptance. You may not assign this Agreement without GRD's written consent.
